Terms and Conditions for the Purchase and Sale of Stock Imagery

These terms and conditions are specific for the purchase and sale of stock imagery, there are separate returns policies as well as general terms and conditions. Please also see our privacy policy

1. Introduction

These Terms and Conditions ("Terms") govern the purchase and use of stock imagery i.e videos and images, hereafter referred to as ("Content") available on marketplace.sussexfilmoffice.co.uk, hereafter referred to as ("Website"). By purchasing Content, you ("Buyer") agree to comply with these Terms.

2. License Grant

Upon payment, the Buyer is granted a non-exclusive, worldwide, royalty-free license to use the Content for the following purposes:

  • TV broadcasts
  • Movies and film production
  • Digital and print media
  • Advertising and promotional materials
  • Any other lawful purpose

The Buyer does not acquire any ownership rights to the Content and may not claim ownership or authorship.

3. Restrictions on Use

The Buyer agrees not to:

  • Resell, redistribute, or sublicense the Content.
  • Use the Content in a manner that infringes upon any third-party rights.
  • Use the Content in any unlawful, defamatory, or obscene manner.
  • Modify the Content in a way that suggests a false endorsement by any person or entity.

4. Credit and Attribution

While attribution is not required, it is appreciated where applicable. The Buyer may credit Sussex Film Office Marketplace and the original creator if desired.

5. Payment Terms

  • All purchases must be made through the Website.
  • Payments are non-refundable unless stated otherwise in a specific refund policy.
  • Prices are subject to change without notice.

6. Intellectual Property Rights

All Content remains the intellectual property of the original creator. The Buyer acknowledges that the license granted is non-exclusive and does not grant the Buyer any rights to the underlying copyright.

7. Indemnification

The Buyer agrees to indemnify and hold harmless Sussex Film Office and its affiliates, licensors, and employees from any claims, damages, losses, or expenses arising from the Buyer's use of the Content in violation of these Terms.

8. Limitation of Liability

To the fullest extent permitted by law, Sussex Film Office shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Content or inability to use the Content.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England.

10. Modifications

Sussex Film Office reserves the right to modify these Terms at any time. The continued use of the Website and Content after changes constitutes acceptance of the new Terms.

12. Seller Obligations

By listing Content for sale on Sussex Film Office Marketplace, Sellers agree to the following conditions:

12.1 Delivery of Content

  • Sellers must deliver the purchased Content to the Buyer within a reasonable timeframe, typically no later than 72 hours after receipt of payment.
  • Failure to deliver the Content within the specified timeframe may result in a cancellation of the order, and payment will not be processed.

12.2 Quality and Standards

  • Sellers are responsible for ensuring that all Content is of high quality, original, and free from any defects.
  • Content must not infringe upon any third-party rights, including but not limited to copyright, trademark, and privacy rights.

12.3 Licensing Rights

  • By listing Content for sale, Sellers grant Buyers a non-exclusive, worldwide, royalty-free license to use the Content for both commercial and non-commercial purposes, as outlined in Section 2 of the Buyer Terms.
  • Sellers retain ownership of the Content and all associated intellectual property rights.

12.4 Indemnification by Seller

  • Sellers agree to indemnify and hold harmless Sussex Film Office and its affiliates from any claims, damages, losses, or expenses arising from any breach of these obligations or any claims related to the Content sold.

12.5 Representation and Warranties

  • Sellers represent and warrant that they have the right to grant the licenses herein and that the Content does not violate any applicable laws or regulations.

12.6 Termination of Listings

  • Sussex Film Office reserves the right to remove any listings at its discretion for any reason, including but not limited to violation of these Terms or other policies of the Website.

12.7 Payment Terms for Sellers

  • Payments to Sellers for Content sold will be processed within 5 working days of sale and will only occur upon successful delivery of the Content to the Buyer.
  • Sussex Film Office Marketplace takes a 10% commission from all sales, this is to facilitate the hosting of listings and processing of transactions.

13. Governing Law for Sellers

These Seller Terms shall be governed by and construed in accordance with the laws of England, with any disputes subject to the exclusive jurisdiction of the courts of England.

14. Modifications

Sussex Film Office reserves the right to modify these Seller Terms at any time. Continued use of the platform and listing of Content after changes constitutes acceptance of the new Seller Terms.
